The present academic paper “LIABILITIES IN COMPANIES” aims to reflect on possible labor liabilities that could occur not only at the time of dismissal of an employee, but also facts and conditions that may generate these liabilities in companies, as well as the prevention by part of the company managers. During this dissertation, we will approach the labor legislation in Brazil, the Consolidation of the Labor Laws, the labor reform and consequently we will go through the labor relations between employer and employee, their obligations and rights and finally, in a quick brushstroke, we will talk about the doctrines and jurisprudence adopted by the egregious Superior Labor Court. As an example and application of the subjects covered in the study module “Labor Liability Management”, we will use a company from the retail sector located in the city of Poços de Caldas-MG that currently has 15 employees.

Taking into account the Corporate Reorganization Processes, we can analyze that this factor is not considered at the time of opening the company, but is put into practice in the face of an external factor such as an economic or internal crisis due to poor management. This reorganization is based on changing its structure or composition of the company, causing it to be modified and adapted to the market. There may be a merger, incorporation and spin-off between companies, changing their capital, partner structure, operation and even their tax regime.
